Terms and Conditions

8.1 Engagements de Parallax Stud.io:

Compliance with deadlines, consistent professional quality, 1-year file backup, compliance with industry technical standards.

8.2 Client commitments:

Accurate documents delivered on time, a single designated contact, validation within 48 hours, payments on schedule.

8.3 Client penalties:

- Validation delay > 48 hours: 500 MAD/day + automatic extension

- Documents incorrects : +20 % + 200 MAD/heure de correction

- Additional contact: 1,000 MAD per person

- Payment delay: see Art. 3.4

8.4 Limitation of liability:

Parallax Stud.io's liability is strictly limited to the total amount paid by the Client. All indirect damages, business losses, errors arising from inaccurate documents, third-party claims, or compatibility issues are excluded. Exception: gross or intentional misconduct.

The Client undertakes not to solicit or recruit, directly or indirectly, any Parallax Stud.io team member during the contract and for 24 months after its end. Violation: 100,000 MAD per person poached.

Entire agreement: General Conditions + signed quote. Any change requires a written amendment signed by both parties. Invalid clauses do not affect the others. Tolerance of a breach is not a waiver. The Client may not assign their rights without Parallax Stud.io's written agreement.

Acceptance: The Client acknowledges having received and had the opportunity to review these General Conditions before any commitment. They cannot claim unfamiliarity. Acceptance is deemed granted upon payment of the deposit, transmission of documents, or written validation of the quote — including the exclusion of any other terms (see Art. 0.1).

Production stages (indicative durations):

- Brief and validation — 1–2 days

- 3D modeling — 5–7 days

- Camera setup — 2–3 days

- Textures and materials — 3–4 days

- Final render and post-production — 3–4 days

- Retouches — 1-2 j

5.2 Timelines:

2 to 3 weeks after receipt of documents and deposit.

Timelines suspended in case of Client delay.

RUSH option: timeline reduced by 50% — +50% surcharge — subject to availability.

5.3 Delivery formats

Images: JPEG 300 dpi (min. 5,000 px), uncompressed TIFF, alpha PNG, web versions on request. Videos: edited MP4 HD (logos, titles, sound), download link valid for 1 month. Archiving: 12 months after delivery — extended retention: 500 MAD/year.

Moroccan law applies (DOC, Commercial Code, Law 17-97, Law 2-00). Amicable settlement within 30 days. Failing that: the Commercial Court of Rabat has exclusive jurisdiction. Limitation period: 15 years. Contract language: French (the French version prevails in case of translation).

4.1 Parallax Stud.io's ownership:

Parallax Stud.io retains intellectual property of all creations: right of attribution, portfolio use, participation in competitions, publication on its social channels.

4.2 License granted to the Client:

The Client receives a time-unlimited usage license for the specific project, across all communication channels related to that project, with the obligation to credit "© Parallax Stud.io" on any publication.

Rights NOT granted without written agreement:

✗ use for another project

✗ transfer to third parties

✗ resale of images

✗ removal of credits

4.3 Source files:

Not included in standard delivery — available on written request: +150% of initial amount, use limited to the specific project, resale or transfer prohibited.

4.4 Sanctions:

Parallax Stud.io embeds invisible metadata and watermarks and monitors image usage. Any unauthorized use: 300% of initial amount + minimum fixed indemnity of 50,000 MAD + damages.

Both parties maintain confidentiality of all exchanged information. Parallax Stud.io agrees not to publish images before the Client's official communication and may sign an NDA if needed (exception: professional portfolio with authorization).

The Client agrees not to disclose or transmit to third parties Parallax Stud.io's methods, technical, commercial, or financial information acquired under the contract.

Sanctions for Client violation: damages (art. 77 DOC) + possible immediate termination.

7.1 Cancellation terms

- Before kick-off: 30% of the deposit retained

- During modeling: 50% of the total amount

- During production: pro-rata of progress

- After the render phase: 100% of the total amount

7.2 Procedure:

Written notification required — 15-business-day notice — pro-rata billing — delivery of work completed.

7.3 Termination by Parallax Stud.io:

In case of: non-payment, failure to provide documents despite reminders, abusive behavior toward the team.

7.4 Termination for change in Client's situation:

In case of merger, liquidation, cessation of payments, court-ordered restructuring, or any event affecting the Client's solvency, Parallax Stud.io may suspend the work until sufficient guarantees are presented, or terminate by written notice without formal notice or court intervention, without prejudice to damages.

9.1 Force majeure:

Parallax Stud.io is released from its obligations in case of unforeseeable and insurmountable events (natural disaster, major IT failure, serious illness, exceptional situation). Effects: suspension of obligations, extension of timelines, no penalty. If > 30 days: termination possible.

9.2 Hardship:

If an unforeseeable change makes performance excessively onerous (major rise in energy, cloud, or license costs; significant tax or regulatory change), Parallax Stud.io may request the opening of negotiations to adapt the contract. Refusal to negotiate in good faith within 15 days → termination without indemnity to the Service Provider (DOC).

Licensed professional software, cutting-edge hardware, daily backups, constant technology monitoring.

Technical warranty: 30 days after delivery — free corrections of bugs, render errors, or corrupted files. Any claim must be submitted in writing within 7 days of delivery; otherwise deliverables are deemed compliant.

Exclusions: fitness for commercial objectives, sales results, regulatory compliance, modifications made by the Client.

In case of contradiction, order of priority: (1) signed quote — (2) these General Conditions — (3) specifications — (4) written exchanges — (5) verbal exchanges (not enforceable without written confirmation).

In accordance with Law No. 09-08: data collected (identity, contact info, billing) used solely to perform the contract. Rights of access, rectification, opposition, and portability available on request at [email protected]. Retention: contract duration + 10 years.
